Terms & Conditions

1. Acceptance of these terms

By creating an account, uploading a Bill of Quantities, or using any part of SchedAI (the "Service"), you agree to these Terms & Conditions. If you don't agree, please don't use the Service. The Service is provided by Itsaboutime Pty Ltd (ACN 603 364 227, ABN 74 603 364 227), a company registered in Victoria, Australia, trading as SmartConstructAI ("SmartConstructAI," "we," "us").

2. What SchedAI is

SchedAI is a software tool that helps construction professionals build a draft tender programme (CPM schedule) from a Bill of Quantities, using AI-guided elicitation and a rules-based scheduling engine. SchedAI is a drafting aid, not a substitute for professional planning judgement.

3. No warranty on output accuracy

SchedAI's output — including durations, sequencing logic, calendars, and any DCMA health-check result — is generated from the information you provide (your Bill of Quantities, your answers to the elicitation questions, and rates drawn from SmartConstructAI's reference library or your own historical data where available). We do not warrant that any schedule produced by the Service is accurate, complete, free of errors, or suitable for any particular tender, contract, or regulatory requirement. You are solely responsible for reviewing, correcting, and approving any schedule before you rely on it.

SchedAI does not provide professional planning, engineering, legal, or financial advice. Nothing in the Service constitutes such advice, and you should obtain your own professional advice where needed — including, without limitation, for Extension of Time (EOT) claims, delay analysis, or any matter with contractual or legal consequences.

4. "Ask SchedAI"

The "Ask SchedAI" assistant answers general scheduling-concept questions from a curated reference library, using an AI model. It is provided for general informational purposes only, is not project-specific advice, and should not be relied on as a substitute for professional judgement or advice from a suitably qualified person.

5. Subscriptions, pricing & payment

SchedAI is currently offered under an early-access promotion — free of charge until 30 September 2026, as stated on the pricing page at the time. From 1 October 2026 (or such date as we publish), pricing reverts to the plans shown on the pricing page at checkout, currently:

• Bid — Monthly: a recurring monthly subscription, billed in advance via Stripe.
• Single Tender Schedule: a one-off payment for a single use of the Service, no ongoing subscription.

All payments are processed by Stripe. SmartConstructAI does not collect or store your card details. Prices are in Australian Dollars (AUD) and, unless stated otherwise, are inclusive of GST where applicable.

6. Cancellation

You may cancel a monthly subscription at any time. Cancellation takes effect at the end of the current billing period — you'll retain access through to the end of the period you've already paid for, and you won't be charged again after that. To cancel, email hello@smartconstructai.com.au with your account email; self-service cancellation from within the app is on the roadmap.

7. Refunds

Because SchedAI is software delivered immediately on payment, refunds are generally not provided once a subscription period has started or a one-off schedule build has been used, except where required by the Australian Consumer Law (see clause 11 below) or at our discretion where the Service was materially unavailable or defective through no fault of yours. If something's gone wrong, contact hello@smartconstructai.com.au and we'll work through it with you in good faith.

8. Your account

You're responsible for keeping your login email secure and for all activity under your account. Accounts are for your own business use; the Bid tier's project limits (currently 3 active projects) apply per account, not per user.

9. Your data and content

You retain ownership of the Bill of Quantities data, project information, and any other content you upload or enter into SchedAI. You grant us a licence to process that content solely to provide the Service to you (build your schedule, run the elicitation conversation, generate exports). We don't use your project data to train AI models, and we don't sell your data.

10. Acceptable use

You agree not to misuse the Service — including attempting to circumvent usage limits, reverse-engineer the Service, or use it to build a competing product from its output structure or reference material.

11. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)). Where the law permits us to limit our liability, our liability is limited, at our option, to re-supplying the Service or refunding the amount you paid for the Service giving rise to the claim.

12. Limitation of liability

To the maximum extent permitted by law, SmartConstructAI is not liable for any indirect, consequential, or special loss (including lost profits, lost time, or costs arising from a delay claim, dispute, or contractual outcome) arising from your use of, or reliance on, the Service. This limitation applies regardless of whether the loss arises from a schedule error, service downtime, or any other cause, and reflects that SchedAI's output must be independently reviewed before use, per clause 3.

13. Service availability

We aim to keep SchedAI available and reliable, but we don't guarantee uninterrupted access. We may need to take the Service down for maintenance, or make changes to features, from time to time.

14. Termination

We may suspend or terminate your access if you breach these Terms, misuse the Service, or fail to pay applicable fees. You may stop using the Service and close your account at any time by contacting us.

15. Changes to these Terms

We may update these Terms from time to time, including as SchedAI's features (e.g. Contract, Control, and Claim tools on the roadmap) go live. Material changes will be reflected by an updated "Last updated" date on this page. Continued use of the Service after a change means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of Victoria.

Privacy Policy

1. Overview

This policy explains what personal information Itsaboutime Pty Ltd (ACN 603 364 227, ABN 74 603 364 227), trading as SmartConstructAI, collects through SchedAI, how it's used, and your rights. We handle personal information in accordance with the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth).

2. What we collect

• Account information: your email address (used to send a single-use login link — SchedAI doesn't use passwords), and your company name if you provide one.
• Project data: the Bill of Quantities, activity, and schedule information you upload or enter to build a tender programme.
• Payment information: handled entirely by Stripe. We never see or store your card number — we only receive confirmation that a payment succeeded, and the email address used at checkout.
• Ask SchedAI questions: the text of any question you ask the Ask SchedAI assistant, sent to our AI provider to generate a response (see "Third parties" below).
• Technical information: basic request logs (e.g. IP address) used for rate-limiting and abuse prevention, not for tracking or advertising.

3. How we use it

• To create and manage your account and send login links.
• To provide the core Service — building, storing, and letting you retrieve your tender schedules.
• To process payments and manage your subscription.
• To respond to support requests you send us.
• To maintain the security and reliability of the Service (e.g. rate-limiting abuse).

We do not sell your personal information, and we do not use your project data to train AI models.

4. Third parties we share data with

We use a small number of specialist service providers to run SchedAI, each only for the specific purpose below:

• Resend — sends the login-link emails. Receives your email address only.
• Stripe — processes payments. Receives your payment details directly; we never see your card number.
• Anthropic (Claude API) — powers the "Ask SchedAI" assistant. Receives the text of the question you ask (and relevant reference passages), not your full project data, account details, or payment information.

These providers process data on our behalf under their own privacy and security terms; we don't share your information with anyone else, and we don't use advertising or analytics trackers on SchedAI.

5. Where your data is stored

Your account and project data is stored on our hosting infrastructure. Session tokens are kept in your browser's local storage (not a tracking cookie) so you stay logged in between visits on that device.

6. Data retention

We keep your account and project data for as long as your account is active, so you can return to and export your schedules. If you close your account, we'll delete your personal information and project data within a reasonable period, except where we need to retain limited records (e.g. payment records) to meet legal or accounting obligations.

7. Your rights

Under the Privacy Act, you can ask us to access, correct, or delete the personal information we hold about you. To do so, email hello@smartconstructai.com.au. If you're unhappy with how we've handled your information, you can also raise a complaint with the Office of the Australian Information Commissioner (OAIC) at oaic.gov.au.

8. Children's privacy

SchedAI is a professional tool intended for construction industry use and is not directed at, or intended for use by, children.

9. Changes to this policy

We may update this Privacy Policy from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page.
